PURPOSE

This Operational Statement creates the process by which the Board of Trustees delegates authority to the Regional Councils, District Coalitions, Local Healthcare Communities, Officers and employees of  NATIONAL  HEALTH.   This process is based on a Derivative Concept of governance, the delegation of authority within a corporate entity.  The Derivative Concept recognizes the Board of Trustees as having the ultimate authority for the affairs of  NATIONAL  HEALTH  as granted to it by the Congressional Charter.  To implement the purposes of  NATIONAL  HEALTH,   the Board of Trustees may grant limited authority and or responsibility to the Regional Councils, District Coalitions, Local Healthcare Communities, Officers or employees for certain specific TASKS.  Throughout its existence, the Board of Trustees retains for itself any remaining authority. 

As a means to formalize the Derivative Concept of governance,  this Operational Statement establishes the basis for all Policies and Procedures of  NATIONAL  HEALTH.  The structure and content of these Operational Statement is intended to ensure that the delegation of authority is consistent with the Congressional Charter granted to  NATIONAL  HEALTH  as well as any other applicable Federal, State or local statutes

 

TASKS

 

I.  ORGANIZE  SYSTEMS

          A.  Prepare all OPERATIONAL STATEMENTS  for Policies and their related Procedures according to a uniform format

II.  PURSUE   V I S I O N

          A.  Establish the Authority for any  OPERATIONAL  STATEMENT  during an appropriate Meeting of the Board of Trustees

          B.  Maintain a Strategic Development Plan, annually revised, as a means to implement the Congressional Charter

III.  BUILD  TRADITION

          A.  Maintain a directory for all  OPERATIONAL  STATEMENTS  including the specific authority for their approval, responsible or affected positions and provisions for their revision or review. 

IV.  MANAGE RESOURCES

          A.  Maintain an Integrated Financial Plan for the Strategic Development Plan

          B.  Maintain a Risk Management Plan for the prevention or management of operational conditions potentially threatening the fundamental execution of the Strategic Development Plan 

V.  DEVELOP  SKILLS

          A.  Maintain the appropriate support for any external audit as may be commissioned by the Board of Trustees or required by legal or contractual obligations

          B.  Maintain an internal audit for an annual review by the Board of Trustees regarding implementation of the Strategic Development Plan

          C. Improve the professional assets of all committee Members and employed staff
